GENERAL TERMS AND CONDITIONS (GTC)

LAMI COSMETICS S.à.r.l.

These General Terms and Conditions (GTC) apply to all orders, sales, deliveries, and services of LAMI COSMETICS S.à r.l. (hereinafter "LAMI") through the online shop as well as to all business relationships with consumers and entrepreneurs within the European Union.

1. Scope of Application

1.1 These GTC apply to all contracts between LAMI and its customers.

1.2 Consumers are natural persons who enter into a legal transaction predominantly for private purposes.

1.3 Entrepreneurs are natural or legal persons who act in the exercise of their commercial or independent professional activity when concluding a contract.

1.4 Conflicting or deviating terms and conditions of the customer are not recognized unless LAMI expressly agrees to their validity in writing.

1.5 Supplementary provisions for entrepreneurs apply exclusively to entrepreneurs.

2. Conclusion of Contract

2.1 The presentation of products in the online shop does not constitute a legally binding offer.

2.2 By completing the ordering process, the customer submits a binding offer to purchase.

2.3 The contract is only concluded through an explicit order confirmation or by the dispatch of the goods.

2.4 LAMI is entitled to refuse orders in whole or in part without giving reasons.

2.5 Obvious writing, printing, pricing, calculation, or system errors do not obligate LAMI to fulfill the contract.

3. Products

3.1 LAMI primarily sells products for eyelash and eyebrow lamination as well as products for hair, skin, and lip care.

3.2 Product images are for illustration purposes only and may differ slightly from the actual product.

3.3 Product descriptions, application recommendations, and care instructions do not constitute medical or therapeutic statements.

3.4 LAMI does not guarantee specific cosmetic results, as these depend on individual factors.

3.5 Customers are required to check ingredients for possible allergies, intolerances, or individual risks before use.

3.6 Products may only be used in accordance with the respective application instructions.

4. Prices

4.1 The prices stated at the time of the order apply.

4.2 All prices are inclusive of or exclusive of statutory taxes as indicated.

4.3 Shipping costs are listed separately.

4.4 LAMI is entitled to pass on reasonable cost increases that occur after the conclusion of the contract to entrepreneurs.

5. Payment Terms

5.1 Full payment is due immediately upon completion of the order.

5.2 The goods will only be shipped after full payment has been received.

5.3 LAMI reserves the right to restrict or exclude individual payment methods at any time.

5.4 All costs arising from chargebacks, failed payments, or other payment disruptions caused by the customer shall be borne by the customer.

5.5 If there are justified doubts about the customer's ability to pay, LAMI may suspend contract fulfillment or withdraw from the contract.

6. Delivery

6.1 Deliveries are made within the European Union.

6.2 Delivery deadlines are non-binding unless expressly agreed in writing as binding.

6.3 Partial deliveries are permissible as long as they are reasonable for the customer.

6.4 LAMI is not liable for delivery delays caused by force majeure or circumstances beyond its control.

6.5 This includes, in particular:

  • Natural disasters
  • Pandemics
  • Epidemics
  • Strikes
  • Energy shortages
  • Cyberattacks
  • Transport disruptions
  • Raw material shortages
  • Government measures
  • Supplier failures

6.6 If delivery is permanently impossible or economically unreasonable, LAMI may withdraw from the contract.

7. Transfer of risk

7.1 For entrepreneurs, the risk passes to the customer upon handover to the carrier.

7.2 For consumers, the risk only passes to the consumer upon actual handover of the goods.

8. Retention of title

8.1 The goods remain the property of LAMI until full payment is made.

8.2 Entrepreneurs assign all claims from a resale to LAMI now.

8.3 In the event of a breach of contract, LAMI is entitled to reclaim the goods.

9. Right of Withdrawal

9.1 Consumers have a statutory right of withdrawal in distance selling contracts.

9.2 The separate withdrawal instruction and the sample withdrawal form will be provided before the conclusion of the contract.

9.3 The right of withdrawal may be excluded in cases provided by law.

10. Warranty

10.1 Statutory warranty rights apply to consumers.

10.2 Entrepreneurs must report recognizable defects in writing within five calendar days after receipt of the goods.

10.3 Hidden defects must be reported in writing immediately after discovery.

10.4 If timely notification is not made, the goods are considered approved by entrepreneurs.

10.5 LAMI decides, as far as legally permissible, at its own discretion on rectification, replacement delivery, or credit.

10.6 Warranty claims do not exist in particular in cases of:

  • improper use,
  • improper storage,
  • failure to observe application instructions,
  • normal wear and tear,
  • unauthorized modifications,
  • damage caused by third parties.
11. Liability

11.1 LAMI is fully liable in cases of intent, gross negligence, injury to life, body or health, as well as in cases of mandatory statutory liability.

11.2 In cases of slight negligence, LAMI is only liable for breaches of essential contractual obligations.

11.3 To the extent permitted by law, liability is limited to foreseeable and typical contractual damages.

11.4 Liability for indirect damages, production losses, business interruptions, data losses, lost profits, and other consequential damages is excluded, to the extent permitted by law.

11.5 LAMI is not liable for individual allergic reactions, intolerances, or cosmetic results, provided that the products were properly manufactured, labeled, and supplied.

12. Intellectual Property

12.1 All trademarks, logos, photographs, product images, texts, designs, databases, and other content remain the exclusive property of LAMI.

12.2 Any use, reproduction, or distribution requires the prior written consent of LAMI.

13. Data Protection

13.1 Personal data is processed exclusively in accordance with the General Data Protection Regulation (GDPR) and applicable legal provisions.

13.2 Additionally, the current privacy policy applies.

14. Electronic Communication

14.1 The customer agrees to electronic communication via email.

14.2 Electronic messages are considered received unless technical non-delivery is proven.

15. Alternative Dispute Resolution

15.1 Information about participation or non-participation in alternative dispute resolution procedures will be provided separately.

15.2 Statutory consumer rights remain unaffected.

16. Applicable Law and Jurisdiction

16.1 The law of the Grand Duchy of Luxembourg applies.

16.2 Mandatory consumer protection regulations of their state of residence remain unaffected for consumers.

16.3 The exclusive jurisdiction for disputes with entrepreneurs is Luxembourg City.

16.4 LAMI is entitled to sue entrepreneurs at their general place of jurisdiction.

17. Final Provisions

17.1 Should individual provisions of these terms and conditions be wholly or partially ineffective, the validity of the remaining provisions shall remain unaffected.

17.2 The legally permissible provision that comes closest to the economic purpose of the original provision shall replace the ineffective regulation.

18. Special Provisions for Resellers (B2B)

18.1 Entrepreneurs, dealers, and resellers are obliged to comply with all legal regulations of the European Union as well as those of the respective distribution countries.

18.2 The commercial resale of the products is done at the entrepreneur's own risk.

18.3 Entrepreneurs are required to keep the original labeling, batch numbers, safety and application instructions, as well as all required product information unchanged.

18.4 Removing, altering, or covering up labels, safety information, or product details is prohibited.

18.5 The reseller agrees to store, transport, and distribute the products properly.

18.6 LAMI assumes no liability for damages resulting from improper storage, processing, repackaging, or transfer by the reseller.

18.7 Entrepreneurs are required to report complaints, product recalls, safety incidents, or regulatory inquiries immediately to LAMI.

18.8 LAMI reserves the right to restrict or discontinue the supply to resellers at any time without giving reasons.
